Description	The Board of Directors of Uni-Asia Holdings Limited (the "Company" and together with its subsidiaries, the "Group") refers to the announcement dated 1 July 2015 in relation to a restructuring exercise ("Restructuring") and wishes to announce the transfer of the entire issued and paid-up share capital of Arena Godo Kaisha ("Arena GK") from Uni-Asia Capital (Japan) Ltd (formerly known as Uni-Asia Finance Corporation (Japan) ("UAFJ") to Uni-Asia Investment Ltd (formerly known as Uni-Asia Capital (Japan) Ltd.) ("UACJ") (the "Transfer") in connection with the Restructuring. As the Transfer was between two subsidiaries of the Company, the Transfer did not affect the book value of Arena GK or materially affect the consolidated net tangible assets of the Group as a whole for the financial year ending 31 December 2015. The Transfer was completed on 15 April 2015 to facilitate the Restructuring. The Transfer is not a discloseable transaction for the purposes of Chapter 10 of the Singapore Exchange Securities Trading Limited Listing Manual.
